Software Licence Agreement

1. Licence
You the "Licensee" is hereby granted, a non-exclusive, non-transferable licence by MaskGraphics (the "Licensor"), to use this version of Disclose-it (the "Software"), according to the terms and conditions set forth below. The Software licensed under this Agreement may only be installed and used on one computer or server (serving one terminal) at a time. You may not copy the Software except that you may either; (a) make one copy of the Software solely for backup or archival purpose or (b) transfer the Software to a single hard disc, provided you keep the original solely for backup or archival purposes. The Software may only be accessed at any one time by the licensee and used only for the direct benefit of the licensee as named in the licence agreement.

Except as specifically described in this licence, the licensee may only use the Software in its original form, you may not transfer, sub-licence, rent, lease, lend, copy, modify, reverse engineer, disassemble, translate, time-share, electronically transmit or receive the Software. Any other forms of use are hereby expressly prohibited, and you should contact the licensor in order to receive an appropriate licence.

2. Terms of Licence
This licence is effective until terminated. You may terminate it any time by deleting the Software and copies as specified herein from your computer or server. This licence will terminate automatically if you fail to comply with any term or condition of this Agreement.

3. Intellectual Property
All rights and title to the Software, and all copyrights, patents, trademarks, service marks or other proprietary rights relating thereto are and shall remain with the licensor. You acknowledge that no rights or interest in these items is granted under this Agreement. Authorised copies of the Software shall contain all copyright notices or proprietary legends that are contained or embedded in the Software.

4. Limited Warranty
The Software is provided "as is" and without express or implied warranties of any kind, including but not limited to, implied warranties of merchantability or fitness for a particular purpose and such other warranties are expressly disclaimed.

5. Support
The Licensor will not support the Software and is not obligated to issue updates to the Software. You are not entitled to hard-copy documentation, support, telephone or email assistance. You assume all risk as to the quality and performance of the Software. Should the Software prove defective, you, and not the Licensor, will assume the entire cost of all necessary servicing or repair. The Licensor does not warrant that the operation of the Software will be uninterrupted or error free or that the Software will meet your specific requirements.

6. Limitation of Liability
In no event will the Licensor be liable to you or any other party for any lost profits, lost savings or other indirect, special, incidental or consequential damages, even if the Licensor has been advised of the possibility of such damages.

7. General
If any provision or part of any provision of this Agreement shall be held invalid or unenforceable, such part shall be ineffective without in any way affecting the remaining parts of such provision or the remaining provisions of this Agreement

This licence is governed by the laws of the United Kingdom.
